PEARL SOCIAL TERMS OF SERVICE

Effective Date: April 15, 2026

PLEASE READ THESE TERMS CAREFULLY. THEY CONSTITUTE A BINDING LEGAL AGREEMENT BETWEEN YOU AND PEARL SOCIAL APP (“PEARL”), GOVERNING YOUR USE OF THE PLATFORM AND ATTENDANCE AT EVENTS. THEY CONTAIN A MANDATORY ARBITRATION CLAUSE AND CLASS ACTION WAIVER.

1. Acceptance of Terms

By clicking “I Agree,” accessing the Pearl Social application, or attending a Pearl-sanctioned event, you agree to be bound by these Terms and our Privacy Policy. Pearl is a curated collective; if you do not agree to these Terms, you may not access the Platform or participate in our community.

2. Nature of the Platform & Eligibility

2.1. A Curated Ecosystem: Pearl is a private, curated social network and events collective. Admission is not a right, but a privilege granted through a vetting process.

2.2. Eligibility: You must be at least 21 years of age (given the nature of our in-person events) and capable of forming a binding contract.

2.3. The "Right to Refuse": Pearl reserves the absolute right to reject any application or terminate any membership at our sole discretion, without the obligation to provide a specific reason, to maintain the integrity of the community.

3. Membership Responsibilities & Confidentiality

3.1. The "Vegas Rule" (Confidentiality): To foster a space of radical candor, the identities of Members and the specifics of conversations held within the Platform or at Events are strictly confidential. You agree not to "dox," screenshot, or publicly identify other Members without their explicit, written consent.

3.2. Account Security: You are the sole custodian of your Pearl account. Sharing your login or "loaning" your membership to a non-member is grounds for immediate permanent expulsion.

4. Community Guidelines: Online & In-Person

Our standards are higher than public platforms. We operate on a zero-tolerance policy for the following:

  • Harassment: Any form of bullying, "clout-chasing" at the expense of others, or unwanted persistent solicitation.

  • Professional Integrity: Misrepresenting your credentials or professional history during the vetting process or to other Members.

  • Solicitation: Pearl is a space for connection, not a marketplace. Unsolicited "cold" pitching or spamming Members for commercial gain is prohibited unless occurring within designated "Ask/Give" channels.

5. Pearl Events & In-Person Conduct

5.1. RSVP & No-Show Policy: Capacity for Pearl events is often limited. You agree to adhere to the specific cancellation policy for each event. Repeated "no-shows" may result in a loss of event-booking privileges.

5.2. Assumption of Risk: By attending in-person events, you voluntarily assume all risks related to such attendance, including but not limited to physical injury or loss of property. 5.3. Alcohol & Conduct: If alcohol is served at an event, you agree to consume responsibly. Pearl and its venues reserve the right to remove any Member who becomes disruptive or intoxicated.

6. Intellectual Property

6.1. Your Content: You own what you post. However, you grant Pearl a non-exclusive license to display your content within the Platform to facilitate community interaction.

6.2. Pearl’s Property: The Pearl name, logo, and the UI/UX of the app are the exclusive property of Pearl Social App. You may not use our branding to promote outside ventures without written permission.

7. Limitation of Liability

7.1. Peer-to-Peer Disclaimer: Pearl facilitates connections but is not responsible for the personal or professional outcomes of those connections. We do not perform criminal background checks on Members.

7.2. Damages Cap: TO THE FULLEST EXTENT PERMITTED BY LAW, PEARL’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO PEARL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Dispute Resolution: Arbitration & Class Action Waiver

8.1. Mandatory Arbitration: You and Pearl agree that any dispute—whether related to the app or an in-person event—will be resolved through binding individual arbitration administered by JAMS in New York, NY.

8.2. Waiver of Jury Trial: You waive your right to a trial by jury or to participate in a class-action lawsuit. You may only bring claims in your individual capacity.

9. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.



PEARL SOCIAL PRIVACY POLICY

Effective Date: April 15, 2026

Privacy Policy

This Privacy Policy constitutes a legally binding agreement between you and Pearl Social App. It has been drafted to comply with the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), the Children’s Online Privacy Protection Act (COPPA), the Electronic Communications Privacy Act (ECPA), applicable FTC regulations, and applicable US state privacy laws. If you are located in the European Union or United Kingdom, additional rights under the GDPR and UK GDPR apply and are addressed in Section 15. Please review this policy carefully before using the Pearl Social application.

1.  About This Policy

Pearl Social App (“Pearl Social,” “we,” “us,” or “our”) operates the Pearl Social mobile application and website (collectively, the “Service”). This Privacy Policy explains how we collect, use, disclose, and protect personal information when you use our Service, and describes the rights available to you.

Pearl Social is a membership-based social network for intellectuals. To deliver our core features — including personalised matching, the Read My Mind intellectual profile, and our AI Social Concierge — we collect categories of personal information that include sensitive data. We take this responsibility seriously and have designed our data practices with privacy as a foundational principle, not an afterthought.

By downloading, registering for, or using the Service, you agree to the collection and use of information in accordance with this policy. If you do not agree, please do not use the Service.

2.  Information We Collect

We collect the following categories of personal information:

2.1  Information You Provide Directly

  • Identity information: Your full name and profile photographs (up to four images).

  • Contact and authentication information: Your phone number, used for account creation and login via one-time passcode (OTP).

  • Social profile links: Your Instagram handle and LinkedIn URL, provided voluntarily during onboarding to support identity verification and profile enrichment.

  • Voice recording and transcript: During voice onboarding, we record your spoken responses. This recording is used to generate your intellectual profile and is permanently deleted from our servers within 24 hours of transcription. The structured transcript — capturing your stated preferences, interests, and reading history — is retained for the duration of your membership.

  • Intellectual profile information: Your favourite authors, books currently reading, articles written or loved, areas of knowledge, era of history of interest, and topics of intellectual passion, as captured during voice onboarding and supplemented by you at any time.

  • Matching preferences: Your stated preferences regarding the gender, location, and professional background of people you would like to be matched with. This information is classified as Sensitive Personal Information (see Section 6).

  • Payment information: When you pay your membership fee or purchase Credits, your payment is processed by Stripe, Inc. Pearl Social does not receive, store, or process your payment card number, expiry date, or CVV. We receive only a Stripe customer ID and transaction reference.

  • Communications: Messages you send to other members through the Service, and messages you send to Pearl AI, our in-app AI assistant.

  • User-submitted links and supplements: Articles, links, and supplemental materials you choose to add to your profile.

2.2  Information We Collect Automatically

  • Device and usage information: Device type, operating system, app version, IP address, and crash logs, collected for security and service improvement purposes.

  • Behavioural signals: In-app interactions including profile views, event RSVPs, message activity, and feature usage, used to improve matching quality and personalise your experience. Click-level data is retained for 30 days. Aggregated behavioural data is retained for up to 12 months.

  • Location data: With your explicit permission, we collect your approximate or precise location to improve match relevance and event recommendations. You may use the Service with location disabled, at reduced matching precision. We do not collect location data when the app is running in the background.

  • Calendar data: If you connect your calendar (available from Q3 2026), we access your availability information on a read-only basis solely to enable the AI Social Concierge to propose event times. We do not read, store, or analyse the content of your calendar events.

2.3  Information Generated by Our Systems

  • AI-generated intellectual profile: Based on your voice onboarding data, our AI generates your Read My Mind profile, including visual representations of your books, quotes, and areas of knowledge.

  • AI-generated biography: From Q4 2026, our AI generates a short biographical summary based on your accumulated intellectual activity within the Service. This bio is presented to you for review and approval before being published on your profile.

  • Compatibility scores: Our matching algorithm generates internal compatibility scores between members. These scores are not shared with members or third parties; they are used solely to rank match suggestions.

2.4  Information We Do Not Collect

  • We do not collect Social Security numbers, government-issued identification numbers, or financial account numbers.

  • We do not collect health or medical information.

  • We do not collect information from children under the age of 18. The Service is not directed at minors. If we become aware that a user is under 18, we will immediately terminate their account and delete all associated data.

3.  How We Use Your Information

We use the personal information we collect for the following purposes:

3.1  Providing and Personalising the Service

  • To create, verify, and maintain your Pearl Social account.

  • To generate and display your Read My Mind intellectual profile.

  • To operate our matching algorithm and present you with compatible member suggestions.

  • To operate the AI Social Concierge, including coordinating curated dinners, drinks, and events on your behalf.

  • To send and receive messages between you and other members.

  • To process membership fees and Credit purchases via Stripe.

  • To integrate with your calendar (where permitted) to coordinate event scheduling.

  • To surface personalised event recommendations in New York City and, in future, other markets.

3.2  Improving and Developing the Service

  • To analyse aggregated, anonymised usage patterns to improve matching quality, event curation, and product features.

  • To train and refine our AI models using anonymised and aggregated data. We do not use identifiable personal information to train third-party AI models. Our AI provider (see Section 7) is contractually prohibited from using Pearl Social member data for its own model training.

3.3  Safety and Security

  • To verify member identity through our admin review process prior to account approval.

  • To detect, investigate, and prevent fraudulent transactions, abusive behaviour, and security incidents.

  • To enforce our Terms of Service and Community Guidelines.

3.4  Legal Compliance and Communications

  • To comply with applicable laws, regulations, and legal process.

  • To respond to your support requests and communications.

  • To send you service-related notifications (account approval, event reminders, RSVP confirmations). These are transactional communications and cannot be opted out of while you maintain an active account.

  • To send you optional marketing communications about Pearl Social features and events, where you have opted in. You may opt out at any time.

4.  Legal Basis for Processing (US Law)

Under applicable US law, including the CCPA/CPRA, we process your personal information for the following business purposes:

  • Performing the contract: Processing necessary to deliver the Service you have purchased, including matching, messaging, concierge coordination, and payment processing.

  • Legitimate business purposes: Processing for security, fraud prevention, analytics, and service improvement, consistent with your reasonable expectations as a member.

  • Legal obligation: Processing required to comply with applicable laws, court orders, or regulatory requirements.

  • Consent: Processing of Sensitive Personal Information (voice transcripts, matching preferences including gender preference, precise location, and calendar data) is based on your explicit, revocable consent. You may withdraw consent at any time without affecting the lawfulness of prior processing (see Section 10).

5.  How We Share Your Information

Pearl Social does not sell your personal information to third parties. We do not share your personal information for cross-context behavioural advertising. We share your information only in the following limited circumstances:

5.1  With Other Members

  • Your Read My Mind profile, photographs, and AI-generated biography are visible to other approved Pearl Social members on the platform.

  • Your first name is shared with other members at curated dinners and events coordinated by the AI Social Concierge. Your contact information, matching preferences, and financial information are never shared with other members.

  • Pearl tier members receive a notification when another member views their profile. The viewing member’s identity is disclosed to the profile owner only at the Pearl tier and above.

5.2  With Service Providers (Data Processors)

We share personal information with third-party service providers who process data on our behalf, subject to strict contractual data protection obligations. These providers may not use your data for their own purposes. Our current processors include:

  • Stripe, Inc.: Payment processing. Stripe is PCI DSS Level 1 certified. No payment card data is transmitted to Pearl Social.

  • Amazon Web Services / Google Cloud Platform: Cloud infrastructure hosting. All data is encrypted at rest and in transit.

  • Pinecone / Weaviate: Semantic vector database for matching. Stores numerical embeddings only; no raw personal information.

  • OpenAI or equivalent LLM provider: AI concierge logic, profile generation, and biography drafting. Our provider is contractually prohibited from using Pearl Social data to train its models.

  • Apple Inc. / Google LLC: Push notification delivery and app distribution. Subject to Apple and Google’s standard platform data processing terms.

5.3  With Venue Partners (Q4 2026 onwards)

From Q4 2026, our AI Social Concierge will book tables at partner restaurants on your behalf. We share with venue partners only the minimum information necessary to complete a reservation: a first name and the number of guests. We do not share your last name, contact information, membership status, matching preferences, or any other personal data with venue partners. Venue partners are prohibited by contract from using reservation information for any purpose other than fulfilling the booking.

5.4  Business Transfers

If Pearl Social undergoes a merger, acquisition, reorganisation, or sale of all or substantially all of its assets, your personal information may be transferred as part of that transaction. We will notify you via email or prominent in-app notice at least 30 days before your information becomes subject to a different privacy policy, and you will have the right to delete your account and data prior to such transfer.

5.5  Legal Requirements

We may disclose your personal information if required to do so by law, court order, or government authority, or if we believe in good faith that disclosure is necessary to protect the rights, property, or safety of Pearl Social, our members, or the public.

We do not sell personal information. We do not share personal information for cross-context behavioural advertising. We do not share personal information with brand partners, advertisers, or data brokers.

6.  Sensitive Personal Information

Under the CCPA as amended by the CPRA, certain categories of personal information are classified as Sensitive Personal Information (SPI) and are subject to heightened protections. Pearl Social collects the following categories of SPI:

  • Precise geolocation: Collected with your explicit permission to improve matching relevance and event recommendations. You may revoke location access at any time via your device settings.

  • Account credentials: Your phone number and OTP authentication credentials.

  • Personal communications: The content of messages you send to other members and to Pearl AI.

  • Gender matching preferences: Your stated preferences regarding the gender of people you wish to be matched with. This information is collected under explicit, separate consent, stored in an encrypted and isolated database field, and is never shared with third parties, brand partners, or other members.

We use Sensitive Personal Information only for the purposes for which it was collected (delivering the Service) and to comply with legal obligations. We do not use SPI to infer characteristics about you beyond what is necessary to provide the Service. You have the right to limit our use of your SPI to these purposes (see Section 10).

7.  Automated Decision-Making and AI

Pearl Social uses automated systems, including machine learning models and large language models, to deliver the following features:

  • Matching algorithm: Our graph neural network analyses your intellectual profile and matching preferences to generate a ranked list of compatible member suggestions. This constitutes automated decision-making that determines which members you are shown.

  • AI Social Concierge: Our concierge autonomously selects dinner and drinks participants, proposes event times, and coordinates venue bookings. This involves automated decisions about which members are grouped together for curated events.

  • Read My Mind profile generation: Our AI generates your intellectual profile layout and visual presentation based on your voice onboarding data.

  • AI-generated biography (Q4 2026): Our AI drafts a biographical summary based on your in-app activity. This draft is presented to you for review and approval before publication.

You have the right to request human review of any automated decision that significantly affects you, including match suggestions or concierge event assignments. To request human review, contact us at privacy@pearlsocial.com or use the review request function available in the app from Q3 2026.

Our AI models do not make decisions based on race, colour, national origin, religion, sex, disability, or any other legally protected characteristic.

8.  Data Retention

We retain personal information only for as long as necessary to provide the Service or as required by law. Our retention periods are as follows:

  • Voice recordings (raw audio): Deleted within 24 hours of transcription. No exceptions.

  • Voice transcripts and intellectual profile data: Retained for the duration of your active membership. Deleted within 30 days of account closure.

  • Messages: Retained for the duration of your active membership. Deleted within 30 days of account closure.

  • Event attendance and RSVP history: Retained for 24 months from the date of the event, then anonymised.

  • Payment records (Stripe references only): Retained for 7 years to comply with financial recordkeeping requirements. Raw payment card data is never held by Pearl Social.

  • Behavioural signals (click-level): Retained for 30 days. Aggregated, anonymised behavioural data retained for up to 12 months.

  • AI-generated biographies and derived profile content: Retained for the duration of your active membership. Deleted within 30 days of account closure.

  • Account verification records: Retained for 3 years from account closure to support fraud prevention and legal compliance.

  • Audit logs of internal data access: Retained for 12 months in immutable form.

When you delete your account, all of the above categories of personal information are queued for deletion within 30 days, except where retention is required by law (e.g., financial records). Anonymised, aggregated data derived from your account may be retained indefinitely as it cannot be used to identify you.

9.  Data Security

We implement technical and organisational security measures designed to protect your personal information against unauthorised access, disclosure, alteration, or destruction. These measures include:

  • Encryption at rest: All databases containing personal information are encrypted using AES-256. Media storage buckets are encrypted with customer-managed keys.

  • Encryption in transit: TLS 1.3 is enforced across all API endpoints, WebSocket connections, and integrations. Certificate pinning is implemented on the mobile client.

  • Access controls: Role-based access control (RBAC) limits internal access to personal information to personnel who require it to perform their role. Admin access to member data requires multi-factor authentication (MFA) and IP allowlisting.

  • Database isolation: Personally identifiable information (PostgreSQL) and social graph data (Neo4j) are stored in logically and physically separated databases. The graph database contains only anonymised node identifiers.

  • Audit logging: All internal access to member personal information is logged with a timestamp, accessor identity, and stated purpose. Logs are immutable.

  • Incident response: We maintain a documented incident response plan, including breach notification procedures compliant with CCPA and applicable state laws. In the event of a data breach that creates a risk of harm to affected members, we will notify them without unreasonable delay and no later than 72 hours after discovery.

No method of transmission over the internet or method of electronic storage is 100% secure. While we strive to use commercially acceptable means to protect your personal information, we cannot guarantee its absolute security. If you believe your account has been compromised, please contact us immediately at security@pearlsocial.com.

10.  Your Privacy Rights

Depending on your state of residence, you may have the following rights regarding your personal information. Pearl Social honours these rights for all members in the United States, regardless of state.

10.1  Right to Know and Access

You have the right to request that we disclose: (a) the categories of personal information we have collected about you; (b) the categories of sources from which we collected it; (c) our business or commercial purpose for collecting it; (d) the categories of third parties with whom we share it; and (e) the specific pieces of personal information we hold about you.

You may exercise this right by submitting a request through the in-app data export function (Settings > Privacy > Download My Data) or by emailing privacy@pearlsocial.com. We will respond within 45 days. Where necessary, we may extend this period by a further 45 days with notice.

10.2  Right to Correct

You have the right to request correction of inaccurate personal information we hold about you. You may update most of your profile information directly in the app at any time via Pearl AI or the profile editor. For other corrections, contact privacy@pearlsocial.com.

10.3  Right to Delete

You have the right to request deletion of personal information we have collected about you, subject to certain exceptions (e.g., information we are required to retain by law or need to detect security incidents). To delete your account and all associated personal information, go to Settings > Account > Delete Account, or email privacy@pearlsocial.com. Deletion is processed within 30 days.

10.4  Right to Limit Use of Sensitive Personal Information

Under the CPRA, you have the right to direct us to limit the use of your Sensitive Personal Information to the purposes necessary to provide the Service. Pearl Social already limits SPI use to service delivery purposes. To exercise this right or adjust your SPI settings, go to Settings > Privacy > Sensitive Data Preferences, or contact privacy@pearlsocial.com.

10.5  Right to Opt Out of Sale or Sharing

Pearl Social does not sell your personal information and does not share it for cross-context behavioural advertising. As a result, there is nothing to opt out of under the CCPA’s “Do Not Sell or Share My Personal Information” provision. We include this disclosure for transparency. A “Do Not Sell or Share My Personal Information” link is included in our website footer and in-app Privacy Settings, which will confirm that no sale or sharing is occurring.

10.6  Right to Non-Discrimination

We will not discriminate against you for exercising any of your privacy rights. We will not deny you the Service, charge you a different price, provide a different level of quality, or suggest that you will receive a different level of quality as a result of exercising your rights under this policy or applicable law.

10.7  Right to Withdraw Consent

Where we process your personal information on the basis of consent (including voice data, matching preferences, location, and calendar access), you may withdraw your consent at any time. Withdrawal does not affect the lawfulness of processing that occurred before withdrawal. To withdraw consent for specific data categories, go to Settings > Privacy > Consent Management, or contact privacy@pearlsocial.com.

10.8  Authorised Agents

You may designate an authorised agent to submit privacy rights requests on your behalf. We will require the agent to provide written authorisation from you and may require you to verify your identity directly before honouring the request.

10.9  How to Exercise Your Rights

To submit a privacy rights request, you may:

  • Use the in-app Privacy Settings menu (Settings > Privacy).

  • Email us at contact@pearlsocialapp.com with the subject line “Privacy Rights Request.”

We will verify your identity before processing your request. Verification may require you to confirm your registered phone number or provide other identifying information. We will not use your verification information for any other purpose.

11.  Children’s Privacy

The Service is intended for adults aged 18 and over. We do not knowingly collect personal information from individuals under the age of 18. The Service is not directed at minors.

If you are a parent or guardian and believe your child has provided personal information to us, please contact us immediately at privacy@pearlsocial.com. We will delete the information within 48 hours of receiving your request and terminate the associated account.

We comply with the Children’s Online Privacy Protection Act (COPPA) and do not knowingly collect, use, or disclose personal information from children under 13 under any circumstances.

12.  Additional Rights for California Residents

If you are a California resident, the following additional disclosures apply under the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA):

12.1  Categories of Personal Information Collected

In the preceding 12 months, Pearl Social has collected the following categories of personal information as defined by the CCPA:

  • Identifiers: Name, phone number, IP address, device identifiers.

  • Personal information categories listed in Cal. Civ. Code § 1798.80(e): Name and photographs.

  • Protected classification characteristics: Gender matching preferences (treated as SPI).

  • Commercial information: Membership fee and Credit purchase history (Stripe references only).

  • Internet or other electronic network activity: In-app behavioural signals, device and usage data.

  • Geolocation data: Approximate or precise location, with consent.

  • Audio/electronic data: Voice recordings (deleted within 24 hours of transcription).

  • Inferences: Intellectual profile, compatibility scores, and AI-generated biography, derived from the above.

  • Sensitive Personal Information: Precise geolocation, account log-in credentials, personal communications, gender matching preferences.

12.2  Sources of Personal Information

We collect personal information directly from you, automatically through your use of the Service, and (in limited cases) from third-party platforms such as Instagram and LinkedIn where you provide us with your handles and we retrieve publicly available profile information.

12.3  Business Purposes for Collection

We collect and use personal information for the business purposes described in Section 3.

12.4  Disclosure for Business Purposes

In the preceding 12 months, we have disclosed personal information to service providers (as listed in Section 5.2) for business purposes only. We have not sold or shared personal information for cross-context behavioural advertising.

12.5  Shine the Light (Cal. Civ. Code § 1798.83)

California residents who have provided personal information to Pearl Social may request information about disclosures of personal information to third parties for their direct marketing purposes during the prior calendar year. Pearl Social does not share personal information with third parties for their direct marketing purposes.

13.  Other US State Privacy Laws

Pearl Social respects the privacy rights of residents of all US states. To the extent applicable, we extend the rights described in Section 10 to residents of states including but not limited to Virginia (VCDPA), Colorado (CPA), Connecticut (CTDPA), Utah (UCPA), Texas (TDPSA), and other states with comprehensive privacy legislation. If you are a resident of a state with a privacy law that grants rights not described in this policy, please contact us at privacy@pearlsocial.com and we will respond in accordance with applicable law.

14.  Third-Party Links and Services

Your Read My Mind profile may contain links to third-party websites, including book retailer pages, article publications, and other external content. When you click such a link, you leave the Pearl Social Service. This Privacy Policy does not apply to third-party websites, and we are not responsible for the privacy practices of those sites. We encourage you to review the privacy policies of any third-party site you visit.

The Service integrates with Instagram and LinkedIn for profile handle display purposes only. We do not access your Instagram or LinkedIn accounts, messages, or private data. We retrieve only publicly available information associated with the handles you provide.

15.  Additional Information for EU and UK Residents

Pearl Social’s current service is directed at members in New York City. If Pearl Social expands to the European Union or United Kingdom, the General Data Protection Regulation (GDPR) and UK GDPR will apply to the processing of personal data of residents in those regions. Prior to any EU/UK launch:

  • Pearl Social will appoint an EU/UK representative as required by GDPR Article 27.

  • A Data Protection Officer (DPO) will be appointed, given the large-scale processing of special category data.

  • Standard Contractual Clauses (SCCs) will be executed for any transfers of personal data from the EU/UK to the United States.

  • A Data Protection Impact Assessment (DPIA) will be completed for all high-risk processing activities, including voice onboarding and automated matching.

  • This Privacy Policy will be updated to reflect EU/UK-specific legal bases, rights, and contact information.

If you are currently an EU or UK resident using the Service, please contact privacy@pearlsocial.com for information about the rights and protections available to you.

16.  Changes to This Privacy Policy

We may update this Privacy Policy from time to time to reflect changes in our practices, technology, legal requirements, or for other operational reasons. When we make material changes, we will notify you by:
